Why it matters

ESOPs often depend on financing structure. Founders and operators need to understand debt, seller notes, lender expectations, and transaction cash flow.

Best for

Founders, CFOs, boards, and advisors preparing for ESOP transaction financing.

This NCEO member-only toolkit is for companies moving from feasibility into transaction or commercial-financing planning. It covers banks, seller financing, non-bank lenders, finance advisors, lender selection, and ESOP-specific financing issues, and includes a directory of lenders with ESOP experience.

NCEO describes the toolkit as a living resource, so its contents and directory can change. It can orient a founder, CFO, board, or advisor to the financing landscape, but the directory is not a substitute for lender diligence or transaction-specific financial and legal advice.
